1. Introduction and Acceptance of Terms

Welcome to Drawhisper. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Drawhisper Technology Limited, a company incorporated in Hong Kong under the Companies Ordinance (Chapter 622 of the Laws of Hong Kong) with company registration number 78290796 ("Drawhisper," "Company," "we," "us," or "our").

By accessing or using our services, including our website, applications, APIs, and any related services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website with a revised "Last Updated" date. Your continued use of the Services after such modifications constitutes your acceptance of the updated Terms.

2. Description of Services

Drawhisper provides software information technology services, artificial intelligence application software development, and internet sales services. Our platform offers access to various AI-powered features, including but not limited to:

Chat Services: AI-powered conversational interfaces utilizing providers such as DeepSeek, xAI, and OpenAI.

Text-to-Speech (TTS) Services: Voice generation capabilities powered by providers including FishAudio and MiniMax, including voice cloning functionality that allows users to create custom voice models.

AI Image Generation: Creative image generation services utilizing providers such as Replicate (Flux, Seedream), PixAI, and Google Gemini.

The availability of specific features and providers may change at our discretion without prior notice.

3. Account Registration and Security

3.1 Account Creation

To access certain features of our Services, you may be required to create an account. When registering, you agree to provide accurate, current, and complete information and to update such information to maintain its accuracy.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We shall not be liable for any loss or damage arising from your failure to protect your account credentials.

3.3 Age Requirements

You must be at least 18 years of age to create an account and use our Services. By using our Services, you represent and warrant that you meet this age requirement.

4. Credits and Payment Terms

4.1 Credits System

Drawhisper operates on a credits-based system for accessing premium features and AI services. Credits are a virtual currency that can be purchased and used within our platform.

4.2 Credit Packages

We offer various credit packages for one-time purchase. Each package includes a base credit amount plus bonus credits as specified at the time of purchase. Current offerings include:

Starter Package: Base credits with 10% bonus
Plus Package: Base credits with 15% bonus
Professional Package: Base credits with 20% bonus
Deluxe Package: Base credits with 25% bonus

Specific pricing and credit amounts are displayed on our pricing page and may vary by region and currency.

4.3 Payment Processing

All payments are processed through our third-party payment processor, Stripe. By making a purchase, you agree to Stripe's terms of service and privacy policy. We accept payments in multiple currencies, including but not limited to USD, HKD, CNY, JPY, and KRW.

4.4 Non-Refundable Credits

All credit purchases are final and non-refundable except as required by applicable law. Credits have no cash value and cannot be exchanged for cash or transferred to other users.

4.5 Credit Expiration

Unless otherwise specified, purchased credits do not expire. However, we reserve the right to implement expiration policies with reasonable notice to users.

4.6 Pricing Changes

We reserve the right to modify our pricing at any time. Price changes will not affect credits already purchased.

5. Acceptable Use Policy

5.1 Permitted Use

You may use our Services only for lawful purposes and in accordance with these Terms. You agree to use our Services in a manner consistent with all applicable laws, regulations, and ordinances.

5.2 Prohibited Conduct

You agree not to:

Use the Services to generate, upload, or distribute content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
Generate content that infringes upon intellectual property rights of any third party
Use the Services to create deepfakes, non-consensual intimate imagery, or content depicting minors in inappropriate contexts
Attempt to reverse engineer, decompile, or disassemble any aspect of the Services
Use automated systems or software to extract data from the Services without our express written permission
Interfere with or disrupt the integrity or performance of the Services
Attempt to gain unauthorized access to the Services or related systems
Use the Services to send spam, chain letters, or other unsolicited communications
Impersonate any person or entity or misrepresent your affiliation with any person or entity
Use the Services in any manner that could damage, disable, overburden, or impair our servers or networks

5.3 Voice Cloning Terms and Conditions

Our Services include voice cloning functionality powered by FishAudio, which allows you to create custom voice models for text-to-speech generation. By using voice cloning features, you agree to the following additional terms:

Consent Requirements: You represent and warrant that you have obtained explicit, informed, and documented consent from any individual whose voice you clone using our Services. This consent must include the individual's agreement to have their voice cloned, the specific purposes for which the cloned voice will be used, and acknowledgment that the cloned voice may be used to generate synthetic speech. You must maintain records of such consent and provide them to us upon request.

Permitted Uses: Voice cloning may only be used for lawful purposes, including personal projects with proper consent, commercial projects where all voice owners have provided appropriate releases, accessibility applications, entertainment and creative projects with proper authorization, and educational purposes.

Prohibited Uses: You expressly agree not to clone any person's voice without their explicit consent; use cloned voices to create fraudulent, deceptive, or misleading content; impersonate individuals for illegal purposes or to cause harm; create non-consensual intimate or defamatory audio content; use cloned voices for harassment, threats, or intimidation; generate content that could damage the reputation of the voice owner; use cloned voices for phishing, scams, or social engineering attacks; or create political disinformation or manipulated media intended to deceive.

Voice Owner Rights: The original voice owner retains rights to their vocal identity. You agree to cease using a cloned voice immediately upon request from the voice owner or upon revocation of consent. You are responsible for honoring any restrictions or limitations specified by the voice owner in their consent.

Liability and Indemnification: You are solely responsible for ensuring that your use of voice cloning complies with all applicable laws, including privacy laws, publicity rights, and anti-fraud regulations. You agree to indemnify and hold harmless Drawhisper Technology Limited from any claims, damages, or liabilities arising from your use of voice cloning features, including claims by voice owners or third parties.

Content Labeling: We strongly recommend that you clearly label or disclose AI-generated voice content, particularly in commercial or public contexts, to maintain transparency and comply with emerging regulations regarding synthetic media.

Termination for Violation: Violation of these voice cloning terms may result in immediate suspension or termination of your account, deletion of cloned voice models, and potential legal action.

5.4 Content Guidelines

All content generated using our Services must comply with applicable laws and our content policies. We reserve the right to remove any content and suspend or terminate accounts that violate these guidelines.

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Services, including all content, features, and functionality, are owned by Drawhisper Technology Limited and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written permission.

6.2 User-Generated Content

You retain ownership of any original content you create using our Services, subject to the licenses granted herein. By using our Services to generate content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and display such content solely for the purpose of providing and improving our Services.

6.3 AI-Generated Content

Content generated by our AI services is provided for your use subject to these Terms. You are responsible for ensuring that your use of AI-generated content complies with applicable laws and does not infringe upon third-party rights.

6.4 Third-Party Content and Services

Our Services integrate with third-party AI providers. Your use of AI-generated content may also be subject to the terms and policies of these third-party providers.

7. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our data practices as described in the Privacy Policy.

8. Disclaimers and Limitations of Liability

8.1 Service Availability

We strive to provide reliable Services but do not guarantee uninterrupted or error-free operation. The Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.

8.2 AI Output Disclaimer

AI-generated content may not always be accurate, appropriate, or suitable for your intended purpose. You acknowledge that AI systems can produce unexpected or incorrect outputs. You are solely responsible for reviewing and verifying any AI-generated content before use.

8.3 Limitation of Liability

To the maximum extent permitted by applicable law, Drawhisper Technology Limited, its directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Services.

Our total liability for any claims arising from these Terms or your use of the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

8.4 Indemnification

You agree to indemnify, defend, and hold harmless Drawhisper Technology Limited and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with your use of the Services or violation of these Terms.

9. Third-Party Services and Links

Our Services may contain links to third-party websites or services that are not owned or controlled by us. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. Your use of third-party services is at your own risk and subject to the terms and conditions of those services.

10. Termination

10.1 Termination by You

You may terminate your account at any time by contacting us at support@drawhisper.com. Upon termination, your right to use the Services will immediately cease.

10.2 Termination by Us

We reserve the right to suspend or terminate your account and access to the Services at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, suspected fraudulent activity, or extended periods of inactivity.

10.3 Effect of Termination

Upon termination, all provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability. Any unused credits at the time of termination will be forfeited unless otherwise required by applicable law.

11. Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law provisions.

11.2 Jurisdiction

Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Hong Kong.

11.3 Informal Resolution

Before initiating any formal dispute resolution proceedings, you agree to first contact us at support@drawhisper.com to attempt to resolve the dispute informally.

12. General Provisions

12.1 Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by us on the Services, constitute the entire agreement between you and Drawhisper Technology Limited concerning the Services.

12.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions shall remain in full force and effect.

12.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

12.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

12.5 Force Majeure

We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
